1. Acceptance of Terms

Welcome to Where's The Crew (the “Service”), a product of Bridge Software Technologies, LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Bridge Software Technologies, LLC governing your access to and use of the Where's The Crew platform, including all associated websites, mobile applications, APIs, and related services.

By creating an account, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not create an account or use the Service in any capacity.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, the terms “you” and “your” shall refer to both you individually and the entity you represent. If you do not have such authority, or if the entity does not agree with these Terms, you must not accept these Terms and must not use the Service.

You must be at least eighteen (18) years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Service Description

Where's The Crew is a multi-tenant Software-as-a-Service (SaaS) field service management platform designed for trade professionals, contractors, and service companies that require GPS-verified workforce accountability. The platform enables businesses to manage field operations with precision, transparency, and efficiency.

The Service consists of the following components:

  • Mobile Applications: Native iOS and Android applications designed for field workers, dispatchers, and administrators, providing on-the-go access to job details, time tracking, inspections, and communication tools.
  • Admin Web Portal: A browser-based administrative dashboard that provides company administrators and managers with comprehensive tools for scheduling, dispatch, reporting, user management, and system configuration.
  • Backend API: A secure application programming interface that powers all client applications and facilitates integration with third-party services.

Core capabilities of the Service include, but are not limited to:

  • GPS-Verified Time Tracking: Utilizing native operating system geofencing technology (CLLocationManager on iOS and GeofencingClient on Android) to verify crew presence at designated job sites and compare reported work hours against verified location data.
  • Job Scheduling and Dispatch: Comprehensive tools for creating, assigning, and managing jobs with real-time status updates and drag-and-drop scheduling capabilities.
  • Digital Inspections: Configurable inspection templates with support for photo capture, digital signature collection, and structured data entry for field documentation.
  • Real-Time Crew Location: Live visibility into the whereabouts of active field workers during configured work hours, enabling efficient dispatch decisions and customer communication.
  • QuickBooks Integration: Bi-directional synchronization with Intuit QuickBooks for seamless transfer of time records, job data, and financial information between the Service and your accounting platform.
  • Offline Mode: Full mobile application functionality even without network connectivity, with automatic data synchronization when connectivity is restored.

The features available to you depend on your subscription plan, as described in Section 4 of these Terms. We reserve the right to modify, update, or discontinue features of the Service at any time, with reasonable notice to active subscribers when material changes occur.

3. User Accounts & Roles

The Service employs a role-based access control system within a multi-tenant architecture. Each company that registers for the Service constitutes a separate tenant, and all data, configurations, and user accounts within that tenant are logically isolated from other tenants. The following roles are defined within the platform:

3.1 Company Administrator

The Company Administrator is the primary account holder and tenant owner. This role carries the highest level of permissions within the platform and includes full access to all features, settings, and data within the tenant. Company Administrators are responsible for managing user accounts, configuring company-wide settings (including work hours, geofence parameters, and notification preferences), managing subscription billing, establishing and maintaining third-party integrations (such as QuickBooks), and overseeing compliance with these Terms by all users within their organization. The Company Administrator bears ultimate responsibility for their team’s adherence to these Terms and all applicable laws.

3.2 Dispatcher / Manager

Dispatchers and Managers are authorized by the Company Administrator to perform operational functions within the platform. This role includes access to the dispatch board for assigning and managing jobs, scheduling tools for workforce planning, real-time crew tracking and location monitoring during work hours, and reporting and analytics dashboards. Dispatchers and Managers do not have access to billing information, tenant-level configuration settings, or user account management unless explicitly granted by the Company Administrator.

3.3 Field Worker

Field Workers are the end users who perform work at job sites. This role provides access to a personal job dashboard displaying assigned tasks and schedules, clock in/out functionality with GPS verification, digital inspection tools for completing on-site documentation, and in-app messaging for communication with dispatchers and managers. Field Workers can view only their own assignments, time records, and related data unless additional permissions are granted by the Company Administrator.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at wtcinfo@bridgesoftwaretechnologies.com if you become aware of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Subscription Plans & Billing

Where's The Crew offers the following subscription tiers. All pricing is subject to change with thirty (30) days’ advance notice to active subscribers:

4.1 Starter Plan — $197/month (annual) or $247/month (monthly)

The Starter Plan is designed for small teams getting started with the platform. It includes one (1) administrator account and supports up to three (3) crew members. The Starter Plan provides access to basic features including job scheduling, GPS time tracking, in-app messaging, and mobile app access with email support. The Starter Plan does not include advanced GPS verification with geofencing, digital inspections, the real-time crew map, or the full administrative portal. When billed annually, the Starter Plan is $197 per month (billed as $2,364 per year). When billed monthly, the rate is $247 per month. New Starter Plan subscribers are eligible for a fourteen (14) day free trial period, during which all Starter features are available at no cost and no credit card is required to begin the trial. At the conclusion of the trial period, you will be prompted to enter payment information to continue using the Service.

4.2 Professional Plan — $397/month (annual) or $497/month (monthly)

The Professional Plan is designed for growing field service operations that need full visibility and accountability. It includes one (1) administrator account and supports up to ten (10) crew members. Features include everything in the Starter Plan, plus full GPS verification and geofencing, digital inspections with photo and signature capture, the real-time crew personnel map, the complete administrative web portal, push, email, and SMS notifications, and priority support. When billed annually, the Professional Plan is $397 per month (billed as $4,764 per year). When billed monthly, the rate is $497 per month. New Professional Plan subscribers are eligible for a fourteen (14) day free trial period, during which all Professional features are available at no cost and no credit card is required to begin the trial. At the conclusion of the trial period, you will be prompted to enter payment information to continue using Professional features. If payment information is not provided, your account will be transitioned to the Starter Plan.

4.3 Business Plan — $697/month (annual) or $897/month (monthly)

The Business Plan is designed for larger teams with advanced operational needs. It includes two (2) administrator accounts and supports up to twenty (20) crew members. It includes everything in the Professional Plan, plus QuickBooks integration for bi-directional syncing of time entries, customers, and invoices, custom inspection forms using dynamic JSON-schema definitions, advanced reporting and analytics, and API access for custom integrations. When billed annually, the Business Plan is $697 per month (billed as $8,364 per year). When billed monthly, the rate is $897 per month. New Business Plan subscribers are eligible for a fourteen (14) day free trial period, during which all Business features are available at no cost and no credit card is required to begin the trial. At the conclusion of the trial period, you will be prompted to enter payment information to continue using the Service.

4.4 Enterprise Plan — Custom Pricing

The Enterprise Plan is tailored for large organizations with specialized requirements. It includes unlimited administrator and crew member accounts. It includes all Business Plan features, plus a dedicated account manager, a service level agreement (SLA) with guaranteed uptime commitments, custom integrations, and on-boarding and training. 4.5 Additional Administrator Seats

The Starter and Professional plans include one (1) administrator account. The Business plan includes two (2) administrator accounts. Additional administrator seats may be added to any plan for $50 per administrator per month. Administrator seats are billed at the same interval as the base subscription (monthly or annual).

4.6 Billing Terms

Paid subscriptions are available on either a monthly or annual billing cycle. Annual subscriptions offer a reduced per-month rate and are billed as a single payment at the start of each annual period. There are no long-term contracts beyond the selected billing cycle, and you may cancel your subscription at any time. Upon cancellation, you will retain access to your current plan’s features through the end of the current billing cycle. Upgrades take effect immediately with pro-rated billing for the remainder of the current cycle. Downgrades take effect at the end of the current billing cycle. Refunds for partial periods are not provided except as required by applicable law. All fees are exclusive of taxes, which will be charged where required by law. Payment processing is handled by Stripe, Inc., and by subscribing you agree to Stripe’s terms of service.

5. SMS / Text Messaging — A2P 10DLC Compliance

5.1 SMS Service Description

Where's The Crew utilizes Short Message Service (SMS) text messaging, delivered through our messaging partner Twilio, to send operational and transactional notifications that are integral to the functioning of the Service. These SMS messages include, but are not limited to: new job assignment notifications, schedule change alerts, time verification and clock-in/clock-out confirmations, geofence discrepancy alerts, administrative notices from your Company Administrator, and system-level notifications related to your account. SMS messaging is used exclusively for service-related operational purposes and is never used for marketing or promotional communications.

5.2 Consent

By providing your mobile phone number during account registration or at any subsequent point while using the Service, you expressly consent to receive transactional and operational SMS messages from Where's The Crew. Your consent to receive SMS messages is not a condition of purchasing any goods or services from us; however, SMS notifications are an integral component of the Service experience, and opting out of SMS messages may limit the functionality available to you, particularly for time-sensitive job assignments and schedule communications. You acknowledge and agree that the phone number you provide is a valid mobile number owned or controlled by you, and that you are authorized to provide consent for SMS messages to be sent to that number.

5.3 Message Frequency

The frequency of SMS messages you receive will vary depending on your role within the platform and your level of activity. Field Workers typically receive between two (2) and ten (10) messages per week, corresponding to job assignments, schedule updates, and time verification alerts. Dispatchers and Managers with high job volumes or large teams may receive a higher volume of messages. The actual number of messages depends on the operational activity within your company’s account and the notification preferences configured by your Company Administrator.

5.4 Opt-Out

You may opt out of receiving SMS messages at any time through any of the following methods: (a) reply STOP to any SMS message received from Where's The Crew; (b) disable SMS notifications in your account settings within the mobile application or web portal; or (c) contact our support team at wtcinfo@bridgesoftwaretechnologies.com and request that SMS messaging be disabled for your account. Upon receipt of a STOP request, we will send a single confirmation message acknowledging your opt-out, and no further SMS messages will be sent to your number unless you re-enable SMS notifications. Reply HELP to any message for assistance or contact wtcinfo@bridgesoftwaretechnologies.com.

5.5 Costs

Standard message and data rates imposed by your mobile carrier may apply to SMS messages sent and received through the Service. Where's The Crew does not charge any additional fees for SMS messages delivered as part of the Service; however, your wireless carrier may charge you for each text message you receive in accordance with your mobile plan. Please consult your carrier’s rate plan for details on messaging charges. You are solely responsible for any charges imposed by your carrier.

5.6 Carrier Disclaimer

SMS message delivery is subject to the availability and performance of wireless carrier networks. Neither Bridge Software Technologies, LLC nor any wireless carrier guarantees the delivery, timeliness, or accuracy of SMS messages. Carriers are not liable for delayed or undelivered messages. Factors that may affect SMS delivery include, but are not limited to, network congestion, device compatibility, carrier filtering policies, geographic coverage limitations, and the recipient device being powered off or out of range.

5.7 Privacy

Your mobile phone number and associated messaging data are used solely for the purpose of delivering service-related operational communications as described in this Section 5. We do not sell, rent, lease, or share your phone number with third parties for marketing or promotional purposes. SMS message delivery is facilitated through our messaging partner, Twilio, Inc., which processes your phone number solely for the purpose of delivering messages on our behalf and in accordance with their own privacy policy and data processing agreements. 6. GPS & Location Data

A core feature of Where's The Crew is GPS-verified time tracking, which uses location data to verify that field workers are present at designated job sites when they report working. This section describes how location data is collected, used, and protected.

6.1 How Location Tracking Works

The Where's The Crew mobile application uses native operating system geofencing APIs — specifically, CLLocationManager on iOS and GeofencingClient on Android — to establish virtual geographic boundaries around job sites. When a field worker enters or exits a geofenced area, the operating system triggers a location event that the application uses to verify the worker’s presence at the designated site. This approach leverages the device’s built-in location hardware and software, ensuring battery-efficient background operation that minimizes impact on device performance.

6.2 When Location Tracking Is Active

Location tracking operates only during the work hours configured by the Company Administrator for each tenant. Outside of these configured work hours, the application does not actively monitor, record, or transmit location data. Company Administrators have full control over the definition of work hours, and these settings may be adjusted at any time through the administrative portal. Field workers are notified of the work hours during which location tracking is active.

6.3 Purpose of Location Data

GPS data collected through the Service is used solely for the purpose of time verification — that is, comparing the hours reported by a field worker against the hours verified by geofence entry and exit events. This enables Company Administrators and Managers to identify discrepancies between reported and verified work hours. Location data is not used for any purpose other than time verification and operational workforce management within the Service.

6.4 Configuration and Control

Company Administrators may configure the following parameters on a per-tenant basis: geofence radius (the size of the virtual boundary around each job site), discrepancy thresholds (the tolerance level for differences between reported and verified hours before alerts are generated), and work hour schedules. These settings allow each company to tailor GPS verification to their specific operational requirements and policies.

6.5 Data Retention

GPS verification logs are retained for a period of 12 months from the date of collection, after which they are automatically and permanently deleted from our systems. During the retention period, GPS data is accessible only to authorized users within the applicable tenant in accordance with their assigned roles and permissions. 7. Data Ownership & Multi-Tenancy

Where's The Crew operates on a multi-tenant architecture in which each company’s data is logically isolated from all other tenants. This section describes the data isolation model, ownership rights, and data lifecycle policies.

7.1 Tenant Isolation

All customer data within the Service is segregated using TenantId-based row-level filtering. This means that every data record is associated with a unique tenant identifier, and all database queries are automatically scoped to the requesting tenant. There is no mechanism within the application for cross-tenant data access. Users within one tenant cannot view, modify, or otherwise interact with data belonging to another tenant under any circumstances.

7.2 Data Ownership

All data entered into the platform by users within a tenant — including but not limited to job records, time entries, inspection reports, photos, signatures, employee information, and GPS verification logs — is and remains the property of the tenant (i.e., the company). Bridge Software Technologies, LLC does not claim ownership of any customer data. We are granted a limited, non-exclusive license to host, process, and transmit your data solely for the purpose of providing and improving the Service.

7.3 Data Export

You may request an export of your company’s data at any time by contacting our support team at wtcinfo@bridgesoftwaretechnologies.com. We will provide your data in a commonly used, machine-readable format within a reasonable timeframe. Data export requests are available to Company Administrators only.

7.4 Data Deletion Upon Termination

Upon termination of your account, whether initiated by you or by us, your data will be retained for a period of 90 days. During this retention period, your data will be available for export upon request. After the 90-day retention period expires, all data associated with your tenant will be permanently and irrecoverably deleted from our systems, including all backups. We strongly recommend exporting any data you wish to retain prior to account termination.

8. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws, regulations, and these Terms. The following activities are expressly prohibited:

  • Unauthorized Access: Attempting to access, probe, or test the vulnerability of the Service or any related system or network, or breaching any security or authentication measures, without express written authorization from Bridge Software Technologies, LLC.
  • Reverse Engineering: Decompiling, disassembling, reverse engineering, or otherwise attempting to derive the source code, algorithms, or underlying structure of any part of the Service.
  • Illegal Use: Using the Service for any purpose that is unlawful, fraudulent, or in furtherance of any illegal activity, including but not limited to violations of labor laws, privacy regulations, or employment statutes.
  • Malware Transmission: Uploading, transmitting, or distributing any viruses, worms, Trojan horses, ransomware, or other malicious code or files through the Service.
  • Security Circumvention: Circumventing, disabling, or otherwise interfering with security features of the Service, including but not limited to authentication mechanisms, access controls, and encryption.
  • Credential Sharing: Sharing your account credentials (username and password) with any other person, or using another person’s credentials to access the Service. Each user must have their own unique account.
  • Time Record Falsification: Knowingly entering false, inaccurate, or misleading time records, or assisting others in doing so, including manipulating clock-in/clock-out data or GPS verification information.
  • GPS Data Misuse: Using GPS verification data for any purpose other than legitimate workforce management, including but not limited to personal surveillance, harassment, or any use that violates the privacy rights of field workers beyond the scope of the Service’s intended functionality.

We reserve the right to investigate and take appropriate action in response to any suspected violation of this Section, including but not limited to suspending or terminating your account, removing offending content, and reporting suspected illegal activity to law enforcement authorities. Violations of this Acceptable Use policy may result in immediate suspension or termination of your access to the Service, with or without prior notice.

9. Intellectual Property

The Where's The Crew platform, including but not limited to all software, source code, object code, algorithms, user interfaces, visual design, graphics, icons, logos, trademarks, service marks, documentation, and all other intellectual property embodied in or associated with the Service, is the exclusive property of Bridge Software Technologies, LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service during the term of your active subscription, solely for your internal business purposes as contemplated by these Terms. This license does not convey any ownership interest in the Service or any intellectual property rights therein.

You retain full ownership of all data, content, and materials that you or your authorized users enter into, upload to, or create within the Service (collectively, “Customer Data”). Nothing in these Terms transfers ownership of Customer Data to Bridge Software Technologies, LLC. We will not use Customer Data for any purpose other than providing, maintaining, and improving the Service, except as required by law or as expressly authorized by you.

You may not reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, adapt, or otherwise exploit the Service or any portion thereof without prior written consent from Bridge Software Technologies, LLC. All rights not expressly granted herein are reserved.

10. Third-Party Services

The Service integrates with and relies upon certain third-party services to deliver its full functionality. By using the Service, you acknowledge and agree that certain data may be transmitted to and processed by these third-party providers in accordance with their respective terms of service and privacy policies. The third-party services currently utilized by the Service include:

  • Twilio, Inc. — Provides the SMS messaging infrastructure used to deliver transactional and operational text messages as described in Section 5 of these Terms.
  • Twilio SendGrid — Provides the email delivery infrastructure used for transactional emails including account notifications, password resets, and administrative communications.
  • Firebase Cloud Messaging (Google) — Provides push notification delivery for the Android mobile application, enabling real-time alerts for job assignments, schedule changes, and other operational events.
  • Apple Push Notification Service (APNs) — Provides push notification delivery for the iOS mobile application, serving the same operational notification purposes as Firebase Cloud Messaging on Android.
  • Microsoft Azure Blob Storage — Provides secure cloud storage for photos, digital signatures, inspection media, and other file attachments uploaded through the Service.
  • Intuit QuickBooks — Provides accounting synchronization capabilities, enabling bi-directional data exchange between the Service and your QuickBooks account for time records, job data, and related financial information. Available on Enterprise plans.
  • Google reCAPTCHA — Provides automated spam and abuse prevention on the Where's The Crew website, protecting contact forms and other public-facing inputs from bot submissions.

Each of these third-party services is governed by its own terms of service and privacy policy, which are independent of these Terms. We encourage you to review the terms and policies of each third-party provider. Bridge Software Technologies, LLC is not responsible for the availability, reliability, accuracy, or security of any third-party service. In the event that a third-party service experiences an outage, degradation, or discontinuation, we will make commercially reasonable efforts to minimize the impact on the Service, but we do not guarantee uninterrupted functionality of features that depend on third-party integrations.

11. Offline Mode & Data Sync

The Where's The Crew mobile application is designed to support full operation even when the device does not have an active network connection. This section describes how offline functionality works and the associated considerations.

11.1 Local Storage

When operating without network connectivity, the mobile application stores all actions, data entries, and state changes locally on the device using a SQLite database. This includes clock-in/clock-out events, job status updates, inspection data, photos, and other operational records created while offline. All locally stored data is encrypted at rest on the device.

11.2 Automatic Synchronization

When network connectivity is restored, the application automatically queues and transmits all pending data to the Where's The Crew backend servers. Synchronization occurs in the background and does not require manual intervention. The system uses a best-effort synchronization strategy with conflict resolution logic to handle cases where the same record may have been modified by multiple users or systems during the offline period.

11.3 GPS Verification During Offline Operation

GPS verification via native operating system geofencing continues to function even without network connectivity. Geofence entry and exit events are generated by the device’s operating system (CLLocationManager on iOS, GeofencingClient on Android) independently of network status, and these events are stored locally until they can be synchronized with the server. This ensures that time verification data is captured accurately regardless of connectivity conditions.

11.4 Limitations

While offline mode preserves core functionality, certain features that inherently require real-time server communication will be unavailable until connectivity is restored. These include real-time crew location tracking on the dispatch board, push notification delivery, instant messaging between team members, and access to the latest schedule changes made by other users. Data integrity is maintained through local storage, but the real-time collaborative aspects of the Service require an active network connection.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BRIDGE SOFTWARE TECHNOLOGIES, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Bridge Software Technologies, LLC does not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Service will be accurate or reliable; (d) the quality of any products, services, information, or other material obtained through the Service will meet your expectations; or (e) any errors in the Service will be corrected.

GPS Accuracy Disclaimer: GPS verification functionality is dependent upon the hardware capabilities of the user’s mobile device, environmental factors (including but not limited to atmospheric conditions, building density, indoor environments, and geographic terrain), wireless carrier signal strength, and the behavior of the device’s operating system. Bridge Software Technologies, LLC makes no warranty or guarantee regarding the accuracy, precision, or reliability of GPS location data. GPS-derived location information should be used as one factor among many in making workforce management decisions and should not be the sole basis for employment actions, disciplinary proceedings, or legal claims.

Service Availability Disclaimer: While we strive to maintain high availability, we do not guarantee that the Service will be available at all times or that access will be uninterrupted. The Service may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, telecommunications failures, and acts of third parties.

Bridge Software Technologies, LLC shall not be liable for any decisions made, actions taken, or consequences arising from reliance on GPS verification data or any other information provided through the Service. You assume full responsibility for how you use and interpret data obtained from the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRIDGE SOFTWARE TECHNOLOGIES, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF BRIDGE SOFTWARE TECHNOLOGIES, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF BRIDGE SOFTWARE TECHNOLOGIES, LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO BRIDGE SOFTWARE TECHNOLOGIES, LLC DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES DURING SUCH PERIOD, BRIDGE SOFTWARE TECHNOLOGIES, LLC’S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100.00).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations and exclusions may not apply to you. In such jurisdictions, the liability of Bridge Software Technologies, LLC shall be limited to the greatest extent permitted by applicable law. Nothing in these Terms shall exclude or limit liability that cannot be lawfully excluded or limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Bridge Software Technologies, LLC, its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

  • Violation of Terms: Your breach or alleged breach of any provision of these Terms, including but not limited to the Acceptable Use provisions set forth in Section 8.
  • Misuse of the Service: Your use of the Service in a manner not authorized by these Terms or in a manner that infringes, misappropriates, or otherwise violates the intellectual property rights or other rights of any third party.
  • Violation of Applicable Laws: Your violation of any applicable federal, state, local, or international law, rule, or regulation in connection with your use of the Service, including but not limited to employment laws, labor regulations, privacy statutes, and data protection requirements.
  • Unauthorized Data Sharing: Any unauthorized disclosure, sharing, or distribution of data accessed through or generated by the Service, including but not limited to employee location data, time records, personal information, and inspection reports.

Bridge Software Technologies, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate fully with our defense of such claim. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

15. Termination

Either party may terminate these Terms and your access to the Service at any time, for any reason or for no reason, subject to the following provisions:

15.1 Termination by You

You may terminate your account at any time by contacting our support team at wtcinfo@bridgesoftwaretechnologies.com or through the account settings in the administrative portal. Upon your request for termination, your access to the Service will be revoked at the end of your current billing cycle (for paid plans) or immediately (for free plans), at your discretion.

15.2 Termination by Us

We may terminate or suspend your access to the Service, in whole or in part, at any time and with or without prior notice, if we reasonably believe that: (a) you have violated any provision of these Terms; (b) your use of the Service poses a security risk to the Service or to other users; (c) your use of the Service may subject us or any third party to liability; (d) your account has been inactive for an extended period; or (e) continued provision of the Service to you is no longer commercially viable. In the case of a material breach of these Terms, we may terminate your access immediately and without prior notice.

15.3 Effect of Termination

Upon termination of your account, regardless of the reason:

  • Your access to the Service and all associated features will be revoked immediately.
  • Any outstanding fees owed by you will become immediately due and payable.
  • Your data will be retained for a period of 90 days, during which time you may request a data export by contacting wtcinfo@bridgesoftwaretechnologies.com.
  • After the 90-day retention period, all data associated with your tenant will be permanently and irrecoverably deleted from our systems.

15.4 Survival

The following sections of these Terms shall survive any termination or expiration: Section 9 (Intellectual Property), Section 12 (Disclaimers), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 16 (Governing Law), and any other provisions that by their nature are intended to survive termination.

16. Governing Law

These Terms, and any disputes arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the federal or state courts located in the State of Ohio, and you hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue in such courts on the basis of forum non conveniens or any other basis.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

17. Changes to Terms

Bridge Software Technologies, LLC reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes to these Terms, we will provide at least thirty (30) days’ advance notice to all registered account holders via email to the address associated with their account. We will also update the “Last Updated” date at the top of this page.

Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree with the modified Terms, you must discontinue use of the Service before the effective date of the changes and contact us at wtcinfo@bridgesoftwaretechnologies.com to request closure of your account.

We encourage you to review these Terms periodically to stay informed about our terms and conditions. For material changes that significantly affect your rights or obligations, we will make commercially reasonable efforts to provide prominent notice beyond the minimum email notification, which may include in-app notifications or banners within the Service.
